Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, software subscriptions, and refrigeration services (collectively, the “Services”) provided by Low Temp Service Corp (“Low Temp Service,” “we,” “us,” or “our”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Definitions

• “Platform” means the Low Temp Service field-service web application used to manage clients, technicians, invoices, inventory, and accounting.
• “Studio” means LTS Studio 3D, the standalone engineering-design and refrigeration-system sizing tool.
• “User,” “you,” and “your” mean any person or entity using the Services.
• “Company” or “Tenant” means a business account that subscribes to the Platform on behalf of its technicians and staff.
• “Customer” means an end customer receiving refrigeration repair, maintenance, or installation services.

2. Eligibility and Accounts

• You must be at least 18 years old and legally able to enter into contracts.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• Company accounts may invite technicians and staff. The Company is responsible for the acts and omissions of its invited users.
• You must provide accurate, current, and complete information when registering or creating records.

3. Field Service Terms

• All estimates are approximate and may change after a full on-site diagnosis.
• Customer approval is required before any repair work is performed.
• Payment is due upon completion of service unless a written payment plan is agreed.
• Late payments may incur additional fees. Equipment may not be released until payment is completed.
• Cancellations or no-shows may be subject to charges.
• Labor warranty is 30 days. Parts warranty is limited to the manufacturer’s warranty.
• Warranty does not cover misuse, abuse, lack of maintenance, unauthorized repairs, or issues unrelated to the original repair.

4. Software Subscriptions and Billing

• The Platform and Studio are offered as monthly or annual subscription plans. Prices are listed on the pricing page and may change with 30 days’ notice.
• Subscriptions begin with a free trial period. If you do not cancel before the trial ends, your selected payment method will be charged.
• Subscription fees are billed in advance and are non-refundable except where required by law.
• You may cancel at any time through your billing portal. Access continues until the end of the current billing period.
• We may suspend or terminate access for non-payment or material breach of these Terms.
• Payments are processed through Stripe. We do not store full credit-card numbers.

5. Stripe Connect and Tenant Payments

• Companies may connect their own Stripe account to accept invoice payments. Funds are deposited directly into the Company’s Stripe account.
• We do not hold, escrow, or take a percentage of invoice payments processed through a connected Stripe account.
• You are responsible for complying with Stripe’s terms and for any disputes, chargebacks, or refunds initiated by your customers.

6. Acceptable Use

• You may not use the Services for any unlawful purpose or in violation of any applicable law.
• You may not reverse-engineer, scrape, or attempt to gain unauthorized access to the Services.
• You may not upload malware, spam, or content that infringes the rights of others.
• You may not resell, sublicense, or commercially exploit access to the Services without written consent.

7. Data and Content

• You retain ownership of the data, documents, designs, and media you upload or create.
• You grant us a limited license to host, process, and display your content solely to operate the Services.
• We implement industry-standard security measures, but we cannot guarantee that unauthorized access will never occur.

8. Engineering and Design Outputs

• LTS Studio 3D produces calculations, drawings, and equipment suggestions based on the inputs you provide.
• All outputs are advisory only and must be reviewed by a qualified refrigeration or mechanical engineer before installation.
• We are not liable for errors caused by incorrect inputs, site conditions, or code interpretations.
• Compliance with local building codes, safety standards, and permit requirements remains your responsibility.

9. Intellectual Property

• All software, designs, logos, trademarks, and content provided by Low Temp Service are our property or licensed to us.
• You may not copy, modify, distribute, or create derivative works of our intellectual property without written permission.

10. Limitation of Liability

• To the maximum extent permitted by law, Low Temp Service is not liable for indirect, incidental, special, consequential, or punitive damages.
• We are not responsible for product or cargo loss, loss of business or revenue, or failures outside our reasonable control.
• Our total liability for any claim arising from the Services is limited to the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Low Temp Service, its officers, employees, and agents from any claim, loss, liability, or expense arising from your use of the Services, your content, or your violation of these Terms.

12. Termination

• You may stop using the Services or cancel your subscription at any time.
• We may suspend or terminate your access if you violate these Terms or fail to pay amounts due.
• Upon termination, your access to the Services ends, but provisions related to payment, liability, and intellectual property survive.

13. Changes to These Terms

We may update these Terms from time to time. We will post the revised version on this page with a new “Last updated” date. Material changes will be communicated via email or in-app notice. Continued use of the Services after changes constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
